2025 Yachting New Zealand Annual General Meeting: Club proxy voting form

This form must be completed by the commodore or vice-commodore of Yachting New Zealand-affiliated clubs NOT ATTENDING THE AGM but wishing to exercise their voting rights.

This form can be used either as voting instructions for a proxy, or as the voting paper for the member club to be sent to Yachting New Zealand. All other voting will be done online with instructions provided on the day of the AGM.

Instructions:

  1. This form should be completed by the commodore or vice-commodore of a financial-affiliated club wishing to exercise voting rights at the annual general meeting and shall be received by Yachting New Zealand no later than 5pm on Wednesday, 12 November 2025.
  2. A club unable to attend may appoint a Yachting New Zealand board member as its proxy holder. The Yachting New Zealand regional development managers (RDMs), chief executive, and other paid employees cannot be proxy holders or delegates.
  3. The club should indicate above how they wish the proxy holder to vote by ticking the appropriate box next to each resolution (i.e. for, against, discretion by proxy).
  4. A copy of the club proxy voting form should be sent to the proxy holder and to Yachting New Zealand.

Definitions:

Delegate: A member of a Yachting New Zealand-affiliated club authorised to represent the club (where they are a member) at the annual general meeting and can vote on behalf of the club.

Proxy: An individual appointed by a Yachting New Zealand-affiliated club to vote on behalf of the club at the annual general meeting when no club members are available to attend.
